Delta Lloyd NV (“Delta Lloyd”) announces that, further to the public exit bid issued by it for ordinary shares in Sarakreek Holding NV (“Sarakreek”), it has acquired 1,169,939 Sarakreek shares (representing 17.60% of Sarakreek’s issued share capital) during the period of the exit bid (from 6 October 2005 to 31 October 2005 inclusive) in addition to the shares already held by it in Sarakreek.
Therefore, as at 31 October 2005, Delta Lloyd held a total of 6,204,259 Sarakreek shares, representing 93.3% of Sarakreek’s issued share capital.
On 21 October 2005, the general meeting of shareholders of Sarakreek decided to dissolve the company with effect from 4 November 2005. Sarakreek ceased to exist on that date. No share in a liquidation surplus was paid to the shareholders.
Despite the fact that at the time when the company ceased to exist the shares in Sarakreek also ceased to exist under company law, Delta Lloyd and Sarakreek have agreed that Delta Lloyd shall take up further Sarakreek shares on Euronext Amsterdam during an extended application period of fourteen days, which shall therefore expire on 14 November 2005, under the conditions of the exit bid announced by Delta Lloyd.
It has been agreed with Euronext Amsterdam that the last day of the extended application period shall also be the last day on which Sarakreek shares are traded on Euronext Amsterdam and that the listing of Sarakreek shares shall be terminated with effect from 15 November 2005. After that date Sarakreek shares shall no longer represent any value.
This notification is a notification as stipulated in Article 9o Section 6 of the 1995 Securities Transactions (Supervision) Decree.
