Articles of Association

The articles of association are the Company’s internal rulebook and regulate the internal management of the Company, setting out how decisions are made and various other matters. The articles deal with matters such as the right of shareholders, the appointment and removal of directors, the conduct of the board and general meetings and notices and communications by the Company.

The Company adopted the current articles of association at the Annual General Meeting held on 28 April 2010. These articles were adopted primarily to ensure consistency with the Companies Act 2006, which was fully implemented in October 2009, as well as the Companies (Shareholders’ Rights) Regulations 2009, implemented in August 2009.
